1. Service provider
These Terms of Service (“Terms”) form an agreement between you and Lotus River AI, Singapore UEN 53505110K (“Lotus River AI”, “we”, “us” or “our”). Our registered address and contact details are on the Contact page.
2. Acceptance of these Terms
By using this website or placing an order, you confirm that you have read and accepted these Terms, our Privacy Policy, Refund and Cancellation Policy and Service Delivery Policy. If you place an order for an organisation, you confirm that you have authority to bind that organisation.
3. Service description and scope
The AI Automation Opportunity Assessment is a fixed-scope professional service. It includes:
- a pre-session workflow questionnaire;
- a 75-minute remote consultation;
- a written roadmap covering up to three priority automation opportunities;
- an effort-versus-impact ranking and recommended next steps;
- a 30-minute remote follow-up; and
- one round of factual corrections requested within 5 business days after delivery.
Implementation, custom development, third-party software, subscription fees, travel, on-site work and ongoing support are excluded. Any additional services require a separate written proposal or order.
4. Orders and contract formation
The website displays the service scope, total price and delivery information before checkout. Your order is an offer to purchase. A contract is formed when payment is authorised and we send an order confirmation to your supplied email address. We may decline or cancel an order if we cannot lawfully supply the service, if payment is not authorised, or if the work is outside the stated scope. If we cancel an accepted order before delivery, we will provide a full refund.
5. Price and payment
The total price of the AI Automation Opportunity Assessment is SGD 350, inclusive of any applicable tax. No shipping or physical delivery fee applies. Payment must be completed through the checkout methods displayed at the time of purchase. Payments may be processed by Airwallex or another processor identified during checkout; we do not receive or store your full card number.
6. Your responsibilities
You agree to provide accurate contact, billing and business information; complete the questionnaire in reasonable time; ensure the relevant people attend scheduled calls; and avoid sharing unlawful, confidential third-party or unnecessary personal data. Our recommendations depend on the completeness and accuracy of the information you provide.
7. Scheduling and delivery
After payment, we will send scheduling instructions. Delivery periods begin once we have received the completed questionnaire and held the main consultation. Full timing and delivery procedures appear in our Service Delivery Policy.
8. Cancellations and refunds
Cancellation windows, rescheduling rights, no-show treatment, refund eligibility and refund timing are set out in our Refund and Cancellation Policy, which forms part of these Terms.
9. Intellectual property
We retain ownership of our pre-existing methods, templates, tools, know-how and general materials. Once you have paid all amounts due, you may use the final written roadmap internally within your organisation without time limit. You may not resell, publish or commercially distribute our templates or underlying methods without our written permission. You retain ownership of materials you supply to us and grant us a limited licence to use them solely to provide the service.
10. Confidentiality
Each party will use reasonable care to protect the other party’s non-public business information and will use it only for the service. This does not apply to information already lawfully known, independently developed, publicly available through no breach, or required to be disclosed by law.
11. Professional judgement and outcomes
Our assessment provides operational and technology recommendations based on information available at the time. It is not legal, tax, accounting, investment or cybersecurity certification advice. We do not guarantee a particular saving, revenue increase, business result or successful implementation. You remain responsible for business decisions and for independently evaluating third-party tools.
12. Liability
Nothing in these Terms excludes liability that cannot legally be excluded. To the extent permitted by Singapore law, neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, data, goodwill or opportunity. Our total liability arising from the fixed-price assessment will not exceed the amount you paid for that assessment. These limitations do not apply to fraud, wilful misconduct, breach of confidentiality, or infringement of the other party’s intellectual property rights.
13. Events outside reasonable control
Neither party is responsible for delay caused by events beyond reasonable control, including major internet or platform outages, natural disasters, government action or serious illness. The affected party will notify the other and take reasonable steps to reduce the delay. Your refund rights remain as stated in the Refund and Cancellation Policy.
14. Changes to these Terms
We may update these Terms for future orders. The version accepted at the time of your order applies to that purchase, unless a change is required by law. The effective date appears at the top of this page.
15. Governing law and disputes
These Terms and any non-contractual obligations arising from them are governed by the laws of Singapore. The parties will first try in good faith to resolve a dispute by written discussion. If it remains unresolved, the courts of Singapore have exclusive jurisdiction, subject to any non-excludable consumer rights or dispute process that applies by law.
